1. Your Relationship With Us

These Terms of Use (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and PO Networks Inc. (“PO,” “we,” “our,” or “us”).
By accessing or using the PO app, website, or any related services (the “Platform”), you agree to comply with and be bound by these Terms, including all incorporated policies such as our Privacy Policy and DMCA Policy.
If you do not agree, you must discontinue using the Platform immediately.

2. Age Restriction – 18+ Only

You must be 18 years of age or older to use PO.
PO does not knowingly permit minors to register for, access, or use the Platform.
By creating an account, you represent that you meet the minimum age requirement. Any false representation may result in permanent account termination.

3. Beta Disclaimer

PO is currently operating in a beta testing phase.
During this stage, features, content, and performance may change without prior notice.
You understand and accept that bugs, technical errors, or downtime may occur, and you agree to use the Platform at your own risk.
PO is not liable for temporary outages, data loss, or interrupted functionality during beta testing.

4. Accepting the Terms

By creating an account or otherwise using PO, you confirm that you:

• Have read, understood, and agree to these Terms in full;

• Will comply with all applicable laws, regulations, and community guidelines;

• Consent to PO’s Privacy Policy, DMCA procedures, and monetization policies;

• Understand that PO may update these Terms from time to time and that continued use constitutes acceptance of any revised version.

5. Your Account

You are responsible for all activity that occurs under your PO account.
You agree to:

• Keep your login credentials secure;

• Refrain from sharing access or impersonating another person;

• Notify PO immediately of any unauthorized use or suspected breach;

• Accept that PO may suspend or terminate accounts that violate these Terms or applicable laws.

PO is not responsible for any loss or damage arising from unauthorized access resulting from your failure to maintain account security.

6. Content Ownership and Rights

You retain full ownership of all content you create and upload to PO, including videos, categories, and comments (“User Content”).
By posting or sharing content, you grant PO Networks Inc. a non-exclusive, worldwide, royalty-free license to host, display, promote, distribute, and reproduce your content solely for the purpose of operating, improving, and promoting the Platform.

You are solely responsible for ensuring that your content:

• Does not infringe upon any third-party rights, including copyright, privacy, or trademarks;

• Complies with all applicable laws and regulations;

• Does not violate PO’s Community Guidelines or Terms of Use.

PO reserves the right to remove or restrict access to content that violates these Terms or applicable law.

7. User Responsibility for Copyrighted Media

You may only upload or stream media that you own or have explicit permission to use.
This includes music, sound, video, and visual material. You are responsible for obtaining any necessary licenses or clearances before uploading content.

PO Networks Inc. is not responsible for securing copyright permissions on your behalf.
Any copyright complaints or claims arising from your uploads are your sole responsibility.
Repeated copyright violations may result in account suspension or permanent termination under PO’s DMCA Policy.

8. Prohibited Content and Conduct

You agree not to post, share, or engage in any activity that includes or promotes:

• Illegal, hateful, harassing, or explicit material;

• Content that impersonates others or misleads users;

• Spam, bots, fake engagement, or artificial interactions;

• Harmful, defamatory, or abusive content;

• Attempts to evade moderation using altered spellings, coded language, or hidden symbols.

Additionally, users must not upload or post any categories, comments, or media that:

• Sexualize or demean others;

• Promote violence or discrimination;

• Encourage self-harm, illegal activity, or misinformation.

Violations may result in immediate removal, suspension, or permanent ban from the platform.

9. Tipping and Monetization 

Overview

PO Networks Inc. (“PO,” “we,” “our,” or “us”) provides eligible users (“Creators”) with monetization opportunities through the platform, including but not limited to:
(a) earning revenue through live broadcasts by sharing in ad revenue generated during livestreams via Google AdMob or other partnered ad networks;
(b) receiving performance-based bonuses or promotional incentives (when applicable); and
(c) earning visibility rewards based on engagement, watch time, and platform activity.

All creator earnings are automatically tracked within the PO platform. Revenue is processed and distributed securely through PayPal HyperWallet, which manages all creator payouts. PO does not directly store or access payment credentials.

All earnings are subject to PO’s Creator Terms, platform policies, and applicable third-party processing fees.

10. Earnings and Creator Payouts

• All creator income is generated exclusively from advertising shown during live streams on the PO platform.

• Revenue Distribution: Creators receive 50 % of the total ad revenue generated from their live broadcasts. Earnings are based solely on verified livestream ad performance data, including engagement, viewer count, and total watch time.

• Payment Processing: All payouts are securely handled through PayPal HyperWallet. PO does not store, process, or have access to any creator’s banking or PayPal account details.

• Payout Schedule: Earnings are automatically distributed after PO receives finalized ad-revenue reports from its advertising partners (e.g., Google AdMob). Payouts are released once the livestream ad revenue has been verified and cleared for distribution.

• Fees and Adjustments: Standard third-party processing or transaction fees may apply depending on payout method or region.

• Disputes: PO is not responsible for delays, reversals, or errors caused by external processors such as PayPal HyperWallet, Google AdMob, or other partnered financial institutions

11. Virtual Gifts and PO Coins

1. Users may purchase PO Coins within the app through the Apple App Store or Google Play Store to send virtual gifts (e.g., Roses, Diamonds, Yachts, etc.).

2. App store providers charge up to 30% in transaction fees on in-app purchases. This amount is deducted before any coin value is allocated to the Platform.

3. After these deductions, creators receive 70% of the remaining net value, and 30% is retained by PO Networks Inc.

4. Virtual gifts hold no real-world monetary value until redeemed. PO may set minimum withdrawal thresholds and redemption limits.

5. PO Coins are non-refundable and may only be used within the Platform.

12. Livestream Ad Revenue

1. Ad Source: Livestream ads on PO are powered by Google AdMob. PO does not control the ad selection, placement, targeting, or frequency of ad display.

2. Ad Management: All ad serving, performance tracking, and payments from advertisers are managed directly by Google AdMob and distributed to PO.

3. Revenue Allocation: PO allocates 50% of all verified net AdMob ad revenue generated during a creator’s livestream to that creator’s account.

4. Revenue Calculation: Ad revenue is calculated based on verified AdMob reports and may be subject to adjustment according to ad performance and AdMob’s reporting policies. “Net ad revenue” refers to total ad income earned from livestreams after deducting applicable AdMob network fees and transaction costs.

5. Payouts and Processing: All creator earnings are processed and distributed through PayPal HyperWallet. Payouts occur automatically after PO receives finalized monthly ad-revenue reports from Google AdMob. PO does not store or access creators’ financial information.

6. Eligibility: To receive ad revenue, creators must be at least 18 years old, have a valid and verified PayPal account connected to HyperWallet, and comply with PO’s Community Guidelines and Terms of Use.

7. Disclaimer: Earnings are not guaranteed. Ad revenue may fluctuate based on ad availability, viewer engagement, and AdMob performance. PO reserves the right to modify payout rates, eligibility requirements, or payment schedules to comply with legal, technical, or business requirements.

13. Taxes and Compliance

• Creator Responsibility: All creators are responsible for complying with applicable tax laws in their respective countries or jurisdictions.

• Reporting: PO and/or its payment processor (PayPal HyperWallet) may report creator earnings to tax authorities as required by law. This may include issuing tax forms such as Form 1099 (for U.S. users) or equivalent local documentation where applicable.

• Third-Party Filings: PayPal, Google AdMob, or other affiliated financial partners may independently issue required tax reports or forms to creators based on regional tax thresholds.

• Withholding: PO does not withhold or deduct personal income taxes from creator payouts unless legally required to do so by government authorities.

• Accuracy of Information: Creators are solely responsible for ensuring that their tax information, legal name, and account details within PayPal HyperWallet are accurate and up to date. Inaccurate or incomplete information may result in payout delays or withholding.

14. Adjustments and Modifications

1. Right to Update: PO reserves the right to modify payout rates, eligibility criteria, or monetization thresholds at any time without prior notice to ensure compliance with business, legal, or technical requirements.

2. No Retroactive Changes: Adjustments will not affect earnings already processed or distributed prior to the modification date.

3. Acceptance of Updates: Continued use of PO’s monetization features constitutes acceptance of any revised payout structures, terms, or eligibility standards.

4. Policy Transparency: PO will make reasonable efforts to communicate major updates through in-app notices, email, or the official PO website when applicable.

15. Account Integrity and Violations

1. Prohibited Behavior: Any form of fraudulent activity — including fake engagement, artificial view inflation, bot usage, automated actions, or attempts to manipulate ad metrics — is strictly prohibited and will result in immediate suspension, permanent account termination, and forfeiture of all pending earnings.

2. Fair Use Enforcement: Creators must not attempt to exploit PO’s monetization systems or interfere with ad delivery, AdMob reporting, or revenue distribution mechanisms.

3. Policy Compliance: All creators must comply with PO’s Community Guidelines, Terms of Use, and Monetization Policies at all times.

4. Final Decisions: All monetization and payout-related decisions made by PO are final and binding. Appeals may be submitted in writing to the PO support team for review.

5. Integrity Standards: Accounts found engaging in spam, self-promotion scams, or coordinated manipulation of ratings, likes, or ad metrics may be permanently banned without notice.

• Monetization through PO is not guaranteed and depends on factors such as viewer engagement, ad availability, and Google AdMob performance.

• Earnings are variable and may fluctuate monthly based on advertising demand and platform metrics.

• PO Networks Inc. is not responsible for lost earnings, payment delays, or interruptions caused by third-party systems, including Google AdMob, PayPal HyperWallet, or other connected services.

• PO does not guarantee uptime or continuous ad delivery from any ad partner.

• All creator earnings are final, non-refundable, and subject to platform policy compliance.

• PO reserves the right to modify, suspend, or terminate monetization privileges at any time in response to violations, fraud, or platform misuse.

 17. Monetization Data

18. Live Streaming

Creators must follow all Community Guidelines and platform standards while live streaming on PO.
The following are strictly prohibited during live broadcasts:

• Nudity, sexually explicit conduct, or suggestive content

• Hate speech, discrimination, or harassment

• Threats, violence, or promotion of illegal activity

• Misleading or harmful behavior

PO reserves the right to terminate streams or accounts at any time for violations or suspicious activity. Repeated or severe infractions may result in permanent account suspension and loss of monetization privileges.

19. YouTube Integration

PO integrates with YouTube Shorts to allow creators to share their verified YouTube videos within the PO platform.

• Videos displayed on PO must originate from a creator’s verified YouTube Shorts account.

• If YouTube removes, restricts, or flags a video for any reason, it will automatically be removed from PO as well.

• PO is not responsible for any copyright, policy, or monetization actions taken by YouTube.

• All videos hosted via YouTube remain subject to YouTube’s Terms of Service and Community Guidelines.

• PO provides display access only and does not modify, host, or control YouTube content or its ad revenue system.

20. Public Ratings

PO allows users to rate each other using custom rating categories that reflect personal opinions and experiences.
Ratings on PO are:

• Public – visible to all users

• Permanent – cannot be edited once submitted

• Authentic – must not be faked, traded, or manipulated

Any suspicious activity, including mass rating manipulation or coordinated abuse, may result in account warnings, suspensions, or permanent bans.
All ratings are user-generated and do not represent PO’s official opinions or endorsements.

21. Account Deletion

Users may request account deletion at any time by emailing info@povote.com.
Upon verified request, PO will permanently delete public-facing data associated with the account. However, certain non-public data (such as transaction logs, payment history, or moderation records) may be retained as required for legal, operational, or regulatory purposes.
Once an account is deleted, access to any associated earnings, analytics, or creator tools will be permanently revoked.

PO Networks Inc. is committed to ensuring accessibility for all users.

PO allows users to post or display text, categories, comments, and videos (“User Content”).
By submitting User Content, you agree that:

1. You are solely responsible for the content you upload or publish.

2. You represent that your content is truthful, lawful, and respectful, and that you will not post any material that is hateful, harassing, racist, sexually explicit, defamatory, or otherwise inappropriate.

3. You own or have obtained proper permission to use any media, audio, or video you share.

4. You grant PO Networks Inc. a non-exclusive, worldwide, royalty-free license to display and distribute your content on the platform for functional, promotional, and operational purposes.

5. PO acts only as a hosting and distribution service and does not endorse, verify, or guarantee the opinions expressed in user content.

6. PO reserves the right to remove or restrict content at its discretion for policy violations, legal reasons, or community safety.

27. Platform Changes and Termination

• PO may modify, update, suspend, or remove any feature, service, or user account at any time, with or without prior notice, and without liability to users.

• PO reserves the right to terminate or limit access to the platform for users who violate these Terms, engage in fraudulent activity, or misuse platform tools or monetization features.

• Any termination will result in the loss of access to the user’s account data, content, and any remaining monetization privileges.

• PO is not responsible for any loss or damage resulting from service interruptions, feature changes, or account terminations.

• Continued use of PO after any update to these Terms constitutes acceptance of the revised version.

28. Limitation of Liability

PO Networks Inc. provides the PO platform “as is” and “as available.”
PO makes no guarantees regarding uptime, performance, or uninterrupted access.
To the fullest extent permitted by law, PO Networks Inc. is not liable for any loss of earnings, ad revenue, content, data, reputation, or functionality, including delays or interruptions caused by third-party services such as Google AdMob, PayPal HyperWallet, or external payment systems.

Maximum aggregate liability of PO Networks Inc. to any user shall not exceed the total amount paid by that user to PO (if any) within the previous twelve (12) months.
PO is not responsible for damages resulting from user-generated content, moderation actions, content removal, or account termination.

Your sole and exclusive remedy for dissatisfaction with PO or any related service is to stop using the platform.

29. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of New York, United States.
Any legal dispute, claim, or proceeding arising out of or relating to these Terms must be brought exclusively in the state or federal courts located in New York County, New York.
By using PO, you consent to the jurisdiction and venue of these courts and waive any objection to such jurisdiction.
